1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you ("Client," "you," or "your") and Nova Codes LLC, a Texas limited liability company located at 2803 E 5th St, Austin, TX 78702. By creating an account, signing an order form, paying an invoice, or otherwise using any Nova Codes service, you accept and agree to be bound by these Terms. If you do not agree, do not use our services.

If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business, and "you" and "your" refer to that business.

2. Services

Nova Codes provides the following services (collectively, the "Services"):

The specific Services included in your engagement, and their pricing, are described in the order form or sign-up flow you complete. Nova Codes may modify or improve the Services from time to time; we will provide reasonable advance notice of material changes.

4. Subscription, fees, and payment

4.1 Fees

The subscription fee depends on the plan you select at checkout:

Both plans have no setup fee and are charged monthly in advance, beginning on your first-charge date (see Section 4.2 — Free trial). The Services you receive are those included in the plan you purchase.

4.2 Free trial

Your subscription begins with a 14-day free trial. You are not charged during the 14-day trial period, and your first charge occurs on day 14 (the day the trial period ends). You may cancel at any time before the end of the trial period at no cost — no fees are owed if you cancel before day 14.

4.3 Payment methods

Nova Codes bills through Whop hosted checkout. You enter your card directly into Whop's hosted checkout link — Nova Codes does not collect, type, or store your card information. By completing checkout, you authorize Nova Codes to charge the subscription fee monthly, beginning on your first-charge date, until you cancel. You are responsible for keeping your payment information current.

4.4 Late payments

If a payment fails, we will attempt to reach you within five (5) business days. If the failed payment is not resolved within ten (10) days, Nova Codes may suspend Services to your account. Suspended accounts may be reactivated upon payment of all amounts due.

4.5 Refunds

Subscription fees are non-refundable except as required by applicable law. Because there is no setup fee and the first 14 days are free, you are only ever charged for service you have elected to continue past the trial.

4.6 Taxes

Fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes that apply to your purchase, except for taxes based on Nova Codes' net income.

4a. SMS messaging program terms (A2P 10DLC)

These SMS terms apply specifically to Nova Codes' text-messaging program described below. They are in addition to the rest of these Terms and to our Privacy Policy.

4a.1 Description of the SMS program and message types

When you opt in to our SMS messaging program at https://nova-codes.com/sms-opt-in, you will receive recurring transactional text messages from Nova Codes LLC at the phone number you provide. Message categories are limited to: appointment confirmations, demo follow-ups, account updates, and service notifications related to our AI receptionist service. Nova Codes does not send promotional or marketing SMS to opted-in numbers. Messages are sent to two groups: (a) Nova Codes' agency operator for booking and emergency alerts, and (b) end-customers of our agency clients who have provided consent.

4a.2 Message frequency

Message frequency varies based on your activity and the type of program you have opted into. Frequency is typically up to 5 messages per month for the operator notifications program, and varies for end-customer appointment-confirmation programs based on the underlying calendar activity.

4a.3 Message and data rates

Standard message and data rates from your wireless carrier may apply. Nova Codes LLC does not charge you for sending or receiving SMS messages, but your wireless carrier may charge you under your plan. Check with your carrier for details. Nova Codes is not responsible for any charges incurred from your wireless carrier for receiving SMS messages from us.

4a.4 How to opt out — Text STOP

You can opt out of our SMS messages at any time. Reply STOP to any text message you receive from Nova Codes LLC to immediately unsubscribe. You will receive a one-time confirmation message acknowledging your opt-out, and you will receive no further marketing messages from us at that number. You may re-subscribe at any time by visiting our opt-in form at https://nova-codes.com/sms-opt-in.

4a.5 How to get help — Text HELP

For help at any time, reply HELP to any text message you receive from Nova Codes LLC, or email liam@nova.codes, or call us using the contact information at the bottom of these Terms. We will respond promptly during normal business hours.

4a.6 Age restriction

You must be at least 18 years of age (or the age of majority in your jurisdiction) to opt in to receive SMS messages from Nova Codes LLC. By opting in, you represent and warrant that you meet this age requirement. Nova Codes does not knowingly send SMS messages to individuals under 18; if you believe we are sending messages to a minor in your household, reply STOP to the message and contact liam@nova.codes.

4a.7 Supported carriers and carrier liability disclaimer

Our SMS program is delivered via U.S. wireless carriers including AT&T, Verizon Wireless, T-Mobile, Sprint, Boost Mobile, MetroPCS, Virgin Mobile, U.S. Cellular, and other supported carriers. Carriers are not liable for delayed or undelivered messages. Nova Codes LLC and the participating wireless carriers do not guarantee that messages will be delivered to your device, are not responsible for any costs you incur, and cannot guarantee message delivery in all cases. Service may be temporarily unavailable due to system maintenance or network conditions.

4a.8 Privacy and data sharing

Information collected through our SMS opt-in flow — including your mobile phone number, consent timestamp, and any associated identifiers — is governed by our Privacy Policy. Nova Codes does not share, sell, rent, or otherwise transfer SMS opt-in data with third parties for marketing purposes, except for the carrier-side telecommunications providers (such as Twilio) that are strictly necessary to transmit the messages you requested.

Nova Codes reserves the right to suspend or terminate Services for violations of this section, in our reasonable discretion.

7. Intellectual property

7.1 Nova Codes IP

The Services, including all software, models, prompts, configurations, templates, snapshots, scripts, training materials, and documentation, are the proprietary property of Nova Codes (or its licensors). Nothing in these Terms transfers ownership of any of these to you. You receive a non-exclusive, non-transferable license to use the Services for your business during the term of your subscription.

7.2 Client data

You retain ownership of the customer contact information, appointments, call transcripts, and other business data that flow through your sub-account ("Client Data"). You grant Nova Codes a limited license to access, store, transmit, and process Client Data solely to provide the Services to you. We do not use Client Data to train AI models without your explicit prior consent.

7.3 Feedback

If you provide suggestions, ideas, feature requests, or other feedback about the Services, you grant Nova Codes a perpetual, royalty-free, worldwide license to use that feedback to improve the Services, with no obligation of compensation to you.

8. Third-party services

The Services depend on third-party platforms and service providers, including GoHighLevel, Vapi, Twilio, OpenAI, Deepgram, Cartesia, Whop, Fly.io, and others. Nova Codes does not control these services, and changes to their availability, pricing, or terms may affect what we can deliver. We will use reasonable efforts to maintain continuity, but we are not liable for outages or service degradation caused by third-party providers.

8.1 Google Workspace integrations

Some Nova Codes features — specifically the optional Google Calendar integration for the AI receptionist — depend on Google Workspace APIs (Google Calendar API, OAuth 2.0). When you (or a business owner you designate) connect a Google account to Nova Codes, you also agree to be bound by the Google API Services User Data Policy and Google's terms governing the Google account you are connecting. Nova Codes' use of any data received from Google APIs adheres to the Limited Use requirements of that policy, as further described in Section 5A of our Privacy Policy. You may revoke Nova Codes' access to the connected Google account at any time per the procedure in Privacy Policy Section 5A.4.

9. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only as needed to perform under these Terms. This obligation does not apply to information that (a) is or becomes publicly known through no fault of the receiving party, (b) was already known to the receiving party without a confidentiality obligation, (c) is independently developed by the receiving party, or (d) must be disclosed by law (with prompt notice to the disclosing party where allowed).

10. Term and termination

10.1 Term

Your subscription begins on your activation date, opens with a 14-day free trial (first charge on day 14, per Section 4.2), and continues month-to-month until cancelled.

10.2 Cancellation by you

You may cancel your subscription at any time by emailing liam@nova.codes or via the cancellation flow in your account. Cancellation takes effect at the end of your current billing period; you will continue to have access to the Services until that date and you will not be charged again.

10.3 Termination by Nova Codes

Nova Codes may suspend or terminate your account if you breach these Terms and do not cure the breach within fifteen (15) days of notice, or immediately if the breach is material and not curable (for example, fraudulent use or non-payment more than thirty days overdue).

10.4 Effect of termination

Upon termination, your access to the Services ends. You may request an export of your Client Data within thirty (30) days of termination; after that, we may delete your Client Data from our active systems. Sections 4 (for amounts owed), 7, 9, 11, 12, 13, and 14 survive termination.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOVA CODES DOES NOT WARRANT ANY SPECIFIC OUTCOME OR RESULT FROM USE OF THE SERVICES, INCLUDING ANY SPECIFIC NUMBER OF BOOKED APPOINTMENTS, GOOGLE REVIEWS, OR REVENUE.

The AI Receptionist is a voice AI system that may misunderstand callers, misinterpret context, or produce inaccurate responses. You are responsible for monitoring its outputs and configuring its prompts and intake fields appropriately for your business.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) NOVA CODES' AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO NOVA CODES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limits apply regardless of legal theory (contract, tort, statutory, or otherwise) and apply even if a stated remedy fails of its essential purpose.

13. Indemnification

You agree to indemnify and hold harmless Nova Codes, its officers, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from or related to: (a) your breach of these Terms; (b) your use of the Services in violation of law or third-party rights; (c) any content you configure into the AI Receptionist or send through the Services; (d) the operation of your underlying business, including any claim by your customers; or (e) any unauthorized access to your account caused by your failure to protect your credentials.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions. Any dispute arising from or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you and Nova Codes each consent to personal jurisdiction and venue there.

Before filing any legal action, you agree to first attempt in good faith to resolve the dispute by contacting liam@nova.codes with a written description of the dispute and the relief you are seeking. The parties will negotiate in good faith for at least thirty (30) days before initiating litigation, unless that delay would prejudice a party's legal rights.
